Terms of Service

These terms explain who owns The Liquid Audit, the scope of the license granted to customers, the platform rules, and the basic liability boundaries that apply when using the service.

Ownership first

All intellectual property in The Liquid Audit, including its code, logic, workflows, user interface, branding, documentation, and related materials, is owned by Omnari Group. Customers receive a limited right to use the service and do not receive any ownership interest in the software or related IP.

1. Software ownership

The Liquid Audit is owned and operated by Omnari Group. All rights, title, and interest in the software, platform logic, user interface, workflows, branding, reports, and supporting materials remain with Omnari Group at all times.

2. Limited license to use the service

If you create an account or access the platform through your venue or organization, you receive a limited, revocable, non-exclusive, and non-transferable license to use The Liquid Audit for your internal business operations. This is a right to use the software, not a sale of the software.

3. No ownership transfer

Your subscription, project setup, onboarding fees, or client payment do not transfer ownership of the software or any part of its intellectual property. Customers and client venues do not acquire any ownership rights in the app, its codebase, design system, business logic, or branding.

4. Restrictions on use

You must not copy, modify, resell, redistribute, sublicense, reverse engineer, decompile, scrape, or attempt to extract source code or underlying logic from The Liquid Audit, except where a restriction cannot legally be excluded.

5. Customer data

You keep ownership of the event, venue, inventory, and usage data that you submit. You give Omnari Group permission to host, process, back up, and display that data only as needed to operate, support, secure, and improve the service.

6. Suspension and termination

We may suspend or terminate access for non-payment, misuse, security risk, fraud, or breach of these terms. When access ends, your license to use the service ends as well.

7. Limitation of liability

To the maximum extent permitted by law, The Liquid Audit is provided on an "as is" basis. Omnari Group is not liable for indirect, incidental, special, consequential, or lost-profit damages. Our total liability for any claim relating to the service is limited to the amount you paid us for the service in the 12 months before the claim arose.

8. Governing law

These terms are governed by the laws of Western Australia, Australia. Any dispute relating to the service will be handled under the laws and courts applicable in Western Australia.
